These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and FJB Strategies, Inc. ("FJB Strategies," "Company," "we," or "us") governing your access to and use of the FJB Strategies Business Intelligence platform, website, and associated services (collectively, the "Services").
BY CREATING AN ACCOUNT, CLICKING "I AGREE," OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree, do not use the Services.
You must be at least 18 years of age and have the legal authority to enter binding contracts to use our Services. By creating an account, you represent and warrant that all information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
FJB Strategies offers multiple subscription tiers: Free Trial (14 days), Lite ($199/month), Standard ($899/month), and Pro ($999/month). Feature availability and consumer limits vary by plan as described on our Pricing page, which is incorporated herein by reference.
Paid plans are billed monthly or annually in advance. Subscriptions automatically renew at the end of each billing period unless cancelled. You authorize FJB Strategies to charge your payment method on file for all applicable fees. All prices are in USD and exclusive of applicable taxes.
The 14-day Free Trial is available to new accounts only, one trial per company. We reserve the right to terminate trials that appear to be created circumventing this limitation. No credit card is required for the Free Trial.
Monthly subscriptions are non-refundable. Annual subscriptions cancelled within the first 30 days receive a prorated refund for unused months. After 30 days, annual subscriptions are non-refundable but remain active until the end of the term. FJB Strategies reserves the right to issue courtesy credits at its discretion.
We may change subscription pricing with 30 days' written notice. Continued use of Services after the price change takes effect constitutes acceptance of the new pricing.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
You retain all ownership rights to the data you upload, import, or generate through the Services ("Client Data"). By using the Services, you grant FJB Strategies a limited, non-exclusive license to process Client Data solely as necessary to provide the Services.
You are solely responsible for ensuring that your collection, use, and sharing of consumer data through the FJB Strategies platform complies with all applicable laws, including but not limited to GDPR, CCPA, CAN-SPAM, TCPA, and any applicable state privacy laws. You represent that you have obtained all necessary consents from consumers before submitting their data to the platform.
FJB Strategies implements commercially reasonable security measures. However, you acknowledge that no system is completely secure and you are responsible for securing your account credentials and API keys.
The Services, including all software, algorithms, user interfaces, content, trademarks, and brand elements, are the exclusive property of FJB Strategies or its licensors. Nothing in these Terms grants you any right to use FJB Strategies' intellectual property except as expressly permitted. Any feedback, suggestions, or ideas you provide may be used by FJB Strategies without restriction or compensation.
The Services may integrate with third-party applications (e.g., Salesforce, HubSpot). Your use of such integrations is governed by the terms and privacy policies of those third parties. FJB Strategies is not responsible for the performance, availability, or security of third-party integrations.
FJB Strategies targets the following uptime SLAs: Standard plan — 99.9% monthly uptime; Pro plan — 99.99% monthly uptime. "Uptime" excludes scheduled maintenance windows (announced 48 hours in advance), force majeure events, and third-party infrastructure failures. Service credits for SLA breaches are limited to a percentage of monthly fees and do not constitute a right to termination.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FJB STRATEGIES DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FJB STRATEGIES' TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL FJB STRATEGIES BE LIABLE FOR INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES.
You agree to defend, indemnify, and hold harmless FJB Strategies, its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including attorney's fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Client Data, including any consumer data compliance violations.
Either party may terminate the subscription at any time. FJB Strategies may immediately suspend or terminate your account without notice if you violate these Terms, engage in fraudulent activity, or fail to pay fees. Upon termination, your right to access the Services ceases. You may export your data within 30 days of termination; thereafter, FJB Strategies may delete all Client Data.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved through binding arbitration under the American Arbitration Association's Commercial Arbitration Rules, conducted in Austin, Texas. You waive any right to a jury trial and to participate in class action proceedings.
We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or platform notice. Continued use of the Services after the effective date of changes constitutes acceptance of the revised Terms.
